本《用户协议》（以下简称"本协议"）由您（以下亦称"用户"）与数字方舟运营方共同缔结，对双方具有法律约束力。
【重要提示】在您注册成为数字方舟用户或使用本平台任何服务前，请您务必审慎阅读、充分理解各条款内容，特别是免除或限制责任的条款、法律适用和争议解决条款、个人信息保护政策等。如您对协议有任何疑问，可通过本协议列明的联系方式咨询。
当您按照注册页面提示填写信息、阅读并同意本协议且完成全部注册程序后，即表示您已充分阅读、理解并接受本协议的全部内容，并与数字方舟运营方达成一致。阅读本协议的过程中，如果您不同意本协议或其中任何条款约定，请勿进行注册程序或停止使用本平台服务。
Welcome to the DigiArk (数字方舟) platform and related services!
This User Agreement ("Agreement") is entered into between you ("User") and the operator of DigiArk, and is legally binding on both parties.
[IMPORTANT NOTICE] Before registering as a DigiArk user or using any service on this platform, please carefully read and fully understand all terms, especially those regarding limitation or exclusion of liability, governing law and dispute resolution, and personal information protection. If you have any questions, please contact us through the channels listed in this Agreement.
By completing the registration process after filling in the required information and agreeing to this Agreement, you acknowledge that you have fully read, understood, and accepted all terms herein and reached an agreement with the operator of DigiArk. If you do not agree to this Agreement or any of its terms, please do not proceed with registration or discontinue use of the platform.
数字方舟是一个赋能跨境卖家与出海企业的 AI 营销平台，为用户提供社交媒体管理、独立站搭建、企业知识库及 AI 营销工具等相关服务（具体以平台实际提供为准）。
本平台提供的服务旨在支持用户的跨境出海业务，相关社交媒体管理功能仅用于管理国际/海外社交媒体账号。本平台不旨在、也不得用于管理用户所在司法管辖区受限的任何服务。
数字方舟运营方有权根据业务发展需要，调整、变更或终止部分或全部服务内容，并将通过平台公告或电子邮件等方式提前通知用户。
DigiArk is an AI-powered marketing platform empowering cross-border e-commerce sellers and businesses going global, providing services including social media management, website building, enterprise knowledge base, and AI marketing tools (subject to the services actually available on the platform).
The services are designed to support Users' cross-border business operations. Social media management features are provided exclusively for managing international/overseas social media accounts. The platform is not intended for, and shall not be used for, managing any service restricted in the User's jurisdiction of operation.
The operator of DigiArk reserves the right to adjust, modify, or discontinue some or all services based on business development needs, and will notify users in advance via platform announcements or email.
3.1 用户注册时应提供真实、准确、完整的个人资料，并在资料变更时及时更新。因用户提供虚假信息导致的任何后果由用户自行承担。
3.2 用户应妥善保管账号和密码，因用户个人原因导致账号信息泄露而造成的损失由用户自行承担。
3.3 用户不得将账号转让、出借或以其他方式提供给第三方使用。如发现账号被未经授权使用或存在安全漏洞，应立即通知数字方舟运营方。
3.4 如用户违反本协议或相关法律法规，数字方舟运营方有权暂停或终止向该用户提供服务。
3.1 Users shall provide true, accurate, and complete personal information during registration and update it promptly when changes occur. Users bear sole responsibility for any consequences arising from false information.
3.2 Users shall safeguard their account credentials. Users bear sole responsibility for losses caused by unauthorized access due to their own negligence.
3.3 Users shall not transfer, lend, or otherwise provide their accounts to third parties. If unauthorized use or security vulnerabilities are discovered, users must notify the operator of DigiArk immediately.
3.4 The operator of DigiArk reserves the right to suspend or terminate services to users who violate this Agreement or applicable laws and regulations.
4.1 用户在使用本平台服务时，必须遵守服务使用地法律法规，不得利用本平台从事任何违法违规活动。
4.2 用户不得利用本平台发送垃圾信息、恶意代码，或进行任何干扰本平台正常运行的行为。
4.3 用户不得对本平台进行反向工程、反向编译或反汇编，不得以任何方式破坏或干扰本平台的安全措施。
4.4 用户通过本平台发布的内容应合法合规，不得含有违法、侵权、虚假或误导性信息。用户对其发布内容的合法性承担全部责任。
4.1 When using the platform, users must comply with applicable laws and the jurisdiction where the services are used, and shall not engage in any unlawful activities through the platform.
4.2 Users shall not send spam, malicious code, or perform any actions that disrupt the normal operation of the platform.
4.3 Users shall not reverse-engineer, decompile, or disassemble the platform, or circumvent or interfere with its security measures in any way.
4.4 Content published by users through the platform must be lawful and compliant, and shall not contain illegal, infringing, false, or misleading information. Users bear full responsibility for the legality of their published content.
5.1 当用户通过 OAuth 授权连接第三方社交平台账号时，用户授权本平台通过官方 API 仅访问提供服务所必需的权限范围。用户可随时在本平台或相应第三方平台上撤销授权。
5.2 从第三方平台获取的数据仅可用于提供本平台约定的服务。用户不得将此类数据用于训练 AI 模型、向第三方出售或转让、或用于本协议所述服务以外的任何目的。
5.3 数字方舟运营方同样承诺：通过第三方 API 获取的数据仅存储于香港服务器、仅用于向用户本人提供服务，不用于训练任何 AI 模型，不与其他用户数据混同或对外共享。
5.4 用户同意遵守每个已连接第三方平台的服务条款和开发者政策。
5.5 来自第三方平台的缓存数据仅在用户有效订阅期内保留，并在撤销授权或账户删除后最多保留30天，届时永久删除。
5.1 When users connect third-party social platform accounts via OAuth authorization, they authorize the platform to access, through official APIs, only the permission scopes necessary to provide the services. Users may revoke authorization at any time from the platform or from the respective third-party platform.
5.2 Data obtained from third-party platforms may only be used to provide the services described in this Agreement. Users shall not use such data to train AI models, sell or transfer it to third parties, or use it for any purpose beyond the services described herein.
5.3 The operator of DigiArk likewise commits that data obtained via third-party APIs is stored exclusively on Hong Kong servers, used solely to provide services to the user, never used to train any AI models, and never commingled with other users' data or shared externally.
5.4 Users agree to comply with the terms of service and developer policies of each connected third-party platform.
5.5 Cached data from third-party platforms is retained only during the user's active subscription, plus a maximum of 30 days after revocation or account deletion, after which it is permanently deleted.
6.1 本平台的所有内容，包括但不限于文字、图片、软件、音频、视频等，其知识产权均归数字方舟运营方或其许可方所有。
6.2 未经数字方舟运营方书面许可，用户不得以任何形式复制、传播、展示、修改本平台的内容。
6.3 用户通过本平台发布的内容，其知识产权仍归用户所有，但用户授予数字方舟运营方在全球范围内免费的、不可撤销的、非独占的使用权，用于提供和改进本平台服务。
6.1 All content on the platform, including but not limited to text, images, software, audio, and video, is owned by the operator of DigiArk or its licensors.
6.2 Without written permission from the operator of DigiArk, users shall not copy, distribute, display, or modify platform content in any form.
6.3 Content published by users through the platform remains the intellectual property of the users, but users grant the operator of DigiArk a worldwide, royalty-free, irrevocable, non-exclusive license to use such content for the purpose of providing and improving the platform services.
7.1 本平台按"现状"提供服务，不对服务的及时性、安全性、准确性作出任何保证。
7.2 对于因不可抗力、系统维护或网络故障等原因导致的服务中断，数字方舟运营方不承担责任。
7.3 对于用户通过本平台获取的第三方信息或服务，数字方舟运营方不对其真实性、合法性承担保证责任。
7.4 在法律允许的最大范围内，数字方舟运营方的总赔偿责任不超过用户在索赔前12个月内向本平台支付的费用。
7.1 The platform provides services "as is" and makes no warranties regarding timeliness, security, or accuracy.
7.2 The operator of DigiArk shall not be liable for service interruptions caused by force majeure, system maintenance, or network failures.
7.3 The operator of DigiArk does not guarantee the authenticity or legality of third-party information or services accessed by users through the platform.
7.4 To the maximum extent permitted by law, the total liability of the operator of DigiArk shall not exceed the fees paid by the user to the platform in the 12 months preceding the claim.
数字方舟运营方重视用户个人信息保护，具体隐私政策请参阅《数字方舟隐私政策》。
特别说明：用户通过本平台产生的所有个人数据及第三方平台 API 数据，均仅存储于香港服务器。
The operator of DigiArk values the protection of users' personal information. For details, please refer to the DigiArk Privacy Policy.
Special Notice: All personal data and third-party platform API data generated through this platform are stored exclusively on servers located in Hong Kong.
9.1 数字方舟运营方有权根据需要不时修改本协议，修改后的协议将在平台上公布。如用户继续使用本平台服务，即视为接受修改后的协议。
9.2 如用户不同意修改后的协议，应停止使用本平台服务并注销账号。
9.3 本协议的终止不影响双方在终止前已产生的权利和义务。
9.1 The operator of DigiArk reserves the right to amend this Agreement from time to time. Amended agreements will be published on the platform. Continued use of the platform constitutes acceptance of the amended Agreement.
9.2 If users do not agree to the amended Agreement, they should discontinue use of the platform and delete their accounts.
9.3 Termination of this Agreement does not affect rights and obligations accrued prior to termination.
本协议的订立、执行、解释及争议解决均适用本协议运营方所在地法律。对于位于欧盟的用户，《通用数据保护条例》（GDPR）相关强制性规定及当地消费者保护法优先适用；对于其他司法管辖区的用户，以当地强制性法律规定为准。
如双方就本协议内容或其执行发生任何争议，应尽量友好协商解决；协商不成时，任何一方均可向有管辖权的仲裁机构或法院提起诉讼。
This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction where the operator of this Platform is located. For users located in the European Union, mandatory provisions of the General Data Protection Regulation (GDPR) and local consumer protection laws take precedence. For users in other jurisdictions, mandatory local laws shall prevail where applicable.
Any dispute arising from this Agreement shall first be resolved through good-faith negotiation. If negotiation fails, either party may submit the dispute to the competent arbitration institution or court with jurisdiction.
11.1 本协议构成双方之间关于使用本平台服务的完整协议。
11.2 如本协议的任何条款被认定为无效或不可执行，不影响其他条款的效力。
11.3 数字方舟运营方未行使或延迟行使本协议项下的任何权利，不构成对该权利的放弃。
11.1 This Agreement constitutes the entire agreement between the parties regarding use of the platform services.
11.2 If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
11.3 Failure or delay by the operator of DigiArk to exercise any right under this Agreement shall not constitute a waiver of such right.
